CSR POLICY

Introduction

At Namdhari Seeds Private Ltd., the Corporate Social Responsibility (CSR) has been an integral part of the way we have been doing our business since inception. As a responsible human organization, we are committed towards the above objective and are keen on developing a sustainable business model to ensure and activate our future growth drivers. For more than 25 years, the Company’s CSR initiatives has played pivotal role in improving the lives of the communities and society at large. This has also enabled us to fulfil our commitment to be a socially responsible corporate citizen.

Our CSR Vision

To create value for the nation through sustainable measures, actively contribute to the Social, Economic and Environmental Development of the community in which we operate.

Our CSR Mission

1. Ensuring socio-economic development of the community through different participatory and need- based initiatives in the best interest of the poor and deprived sections of the society so as to help them to become self-reliant and build a better tomorrow for themselves.

2. Ensuring environmental sustainability through ecological conservation and regeneration, protection & re growth of endangered plant species, and promoting biodiversity.

CSR Policy of the Company

To direct CSR Programs, inter alia, towards achieving one or more of the following –

1. Enhancing environmental and natural capital; supporting rural development; promoting education; providing preventive healthcare, providing sanitation and drinking water; creating livelihoods for people, especially those from disadvantaged sections of society, in rural and urban India; preserving and promoting sports;
2. To develop the required capability and self-reliance of beneficiaries at the grass roots, especially of women, in the belief that these are prerequisites for social and economic development;
3. To engage in affirmative action interventions such as skill building and vocational training, to enhance employability and generate livelihoods for persons from disadvantaged sections of society;
4. To pursue CSR Programs primarily in areas that fall within the economic vicinity of the Company's operations to enable close supervision and ensure maximum development impact;
5. To carry out CSR Programs in relevant local areas to fulfil commitments arising from requests by government/regulatory authorities by way of developmental works in the local areas around which the Company operates;
6. To undertake programs of animal welfare and support the organizations engaged in such activities;

Such other activities as the Board may consider appropriate.

CSR Funds

The corpus for the purpose of carrying on the aforesaid activities would include the followings:

1. Two percent of the average Net Profit made by the Company during immediately preceding three Financial Years.
2. Any income arising there from.
3. Surplus arising out of CSR activities carried out by the company and such surplus will not be part of business profit of the company.

Implementation
The Company shall directly undertake the CSR Activities through Company personnel or through external implementing agencies or through Namdhari Charitable Trust and Section 8 companies that may be established by the Company from time to time in compliance with Section 135 & Schedule VII of the Companies Act, 2013 read with Companies (Corporate Social Responsibility Policy ) Rules 2014.
Monitoring
The CSR Committee of Directors has been constituted as follows

The CSR Committee shall report to the Board about the CSR initiatives at regular Intervals. This report would indicate:

1. Achievement since last progress report / during the last quarter in terms of coverage compared to the target and reasons for variance.
2. Achievement of the year-to-date in terms of coverage compared to the target, plans to overcome shortfalls if any and support required from the Board to overcome the shortfalls.
3. Actual year-to-date spending compared to the budget and reasons for variance.
4. In respect of activities undertaken through outside Trust/Society/NGO's etc. there will be mechanism of monthly reporting of progress on each such activities and the amount incurred thereon.

Compliance with Companies Act, 2013

Our Corporate Social Responsibility policy conforms to the Section 135 of the Companies Act, 2013 on Corporate Social Responsibility as spelt out by the Ministry of Corporate Affairs, Government of India.
